Registering a limited company in Thailand

In short

A Thai private limited company is registered with the Department of Business Development under the Civil and Commercial Code. Registration fixes the name, objectives, registered address, capital, shareholders and directors — and each of those choices has downstream consequences for licensing, visas and banking.

Name reservation comes first and is refused more often than people expect, usually for similarity to an existing name or for using a restricted word. Prepare alternatives in the order you would accept them.

The objectives clause is not boilerplate. It determines which activities the company may carry on, whether a foreign business licence question arises, and whether a bank or a government office will accept the company for a particular purpose later.
