In short
Thai limited companies hold an annual general meeting, file the shareholder list and file audited financial statements with the Department of Business Development within the statutory deadlines. Directors, addresses and capital changes are also registered when they occur.
Statutory records are checked at the worst possible moment — during due diligence, a bank application or a licence renewal. Keeping minutes, share registers and filing receipts in one place converts a two-week scramble into an afternoon.
Where directors are outside Thailand, plan signature logistics in advance. Documents that need wet-ink signatures from abroad may also need certification before they can be filed.

- Company affidavit and current registered particulars
- Prior year AGM minutes and shareholder list
- Audited financial statements for the year concerned
- Details of any change to directors, address or capital
Watch out
Late filing penalties are cumulative and are raised again every time the company files something new.
