Does a dormant Thai company still have to file?
Short answer
Yes. A registered company with no activity still prepares annual financial statements, has them audited, holds its annual general meeting and files with the Department of Business Development and the Revenue Department. VAT-registered dormant companies also file monthly VAT returns.
Dormancy reduces the volume of work but not the obligations, and skipped years accumulate penalties that surface when the company is eventually used or closed.
If the company will not be used again, a formal dissolution and liquidation is usually cheaper than leaving it dormant indefinitely.
